Agreement between You and One Way Education, LLC

Please read these Terms of Service (the "Terms") carefully before registering on or using the website provided by One Way Education, LLC., or its parents, affiliates or subsidiaries (collectively, "One Way Education" or "we") at www.nosotrosonline.com (the "Learning Site"). The term "you" (and "your") for purposes of these Terms, means both you in your individual capacity, and if applicable, the company or other legal entity whom you represent and on whose behalf you use the Service. Your registration on, or use of, the learning site indicates that you accept these terms of service. If you do not accept these terms of service, please do not use or register for use of the learning site. These terms and conditions apply to all users of the Learning Site and associated services.
 
Use of the Learning Site
Except as otherwise provided, One Way Education gives you permission to use the Learning Site and the content of the Learning Site (the "Site Content") solely for your personal, non-commercial, use. The Site Content, including, without limitation, text, images, video, graphics, music and sound is protected by copyright, trademark and other laws. The Site Content is the property of One Way Education and its suppliers and contributors. Without limiting the foregoing, One Way Education owns a copyright in the selection, coordination, arrangement and enhancement of the Site Content, as well as in One Way Education's original content. Unauthorized use of the Site Content is strictly prohibited. You may not copy, redistribute, alter, modify, publish, transmit, adapt, translate, prepare derivative works from, decompile, reverse engineer (except as expressly permitted by law), disassemble or in any way exploit the Site Content, or create or attempt to create a substitute or similar service or product through use of or access to the Learning Site. Solely in connection with the use of products purchased from One Way Education, instructors may (i) download, (ii) display, and perform in the classroom, and (iii) reproduce as-is and distribute in printed form to students, in the classroom, certain Site Content, as identified on the Learning Site as materials connected to One Way Education. Further, solely in connection with the use of products purchased from One Way Education or an authorized distributor, instructors may modify certain Site Content, as identified on the Learning Site as downloadable in unlocked editable electronic form, and display or distribute, in printed form, such modified Site Content to students in the classroom. You will not remove, obscure, or alter One Way Education's copyright notice, trade names, trademarks, service marks, logos, other distinctive brand features, or other proprietary rights notices affixed to or contained within the Learning Site or any Site Content. Without One Way Education's express prior written permission, you will not frame any portion of the Learning Site or any of the Site Content or link to the Learning Site other than to complete pages hosted as part of the Learning Site. You will not distribute any of the Site Content in electronic form without One Way Education's express prior written permission. You acknowledge that you do not acquire any ownership rights by downloading or modifying Site Content. We reserve the right, for any reason, to suspend or deny your access to all or any portion of the Learning Site or use of Site Content, including Site Content that you have modified.
 
Changes to these Terms of Service
One Way Education reserves the right, in its sole discretion, to modify these Terms of Service, in whole or in part, at any time. Changes will be effective when notice of such change is posted to www.nosotrosonline.com. While we will endeavor to provide direct notice to you of any changes, you are responsible for periodically checking the Learning Site to determine if any changes have been made and we are not liable for your failure to do so or our failure to provide such direct notice to you. Your continued use of the Learning Site after any changes are posted will be considered acceptance of those changes. By using the Learning Site, you agree that you have reviewed, understand and accept these Terms of Service.
 
User-Submitted Content/Conduct
Portions of the Learning Site (such as "chat rooms", "blogs" or "forums") may allow users to upload and/or post content, including both academic-oriented and nonacademic-oriented content. You shall not upload or post on the Learning Site any content that is libelous, defamatory, obscene, threatening, invasive of privacy, harmful to minors in any way, abusive, illegal or harassing, or contains expressions of hatred, bigotry, racism or pornography, or is otherwise objectionable, or that would constitute or encourage a criminal offense, violate the rights of any party or violate any law, or that you do not have a right to make available under contractual or fiduciary relationship, or that is used to make commercial solicitations. Uploading or posting any such content may result in the immediate termination of your access to the Learning Site and, if appropriate, notification to law enforcement officials. If legal action is pursued any and all information collected by One Way Education will be turned over to the appropriate law enforcement officials. This means that you, and not One Way Education, are entirely responsible for the content you transmit to the Learning Site.
You shall not upload to, distribute through or otherwise publish through the Learning Site any content that contains viruses or any other computer code, corrupt files or programs designed to interrupt, destroy or limit the functionality of the Learning Site or disrupt any software, hardware, telecommunications, networks, servers or other equipment. Uploading, distributing or publishing such content may result in immediate termination of your access to the Learning Site and, if appropriate, notification to law enforcement officials.


One Way Education has no obligation to screen information or content posted or submitted by you or other users for use in connection with the Learning Site, and content posted by users does not necessarily reflect the views of One Way Education. However, One Way Education shall have the right, in One Way Education's sole discretion, to refuse to post, remove or edit any content submitted to One Way Education or posted on the Learning Site. You agree that One Way Education has no liability or responsibility for the storage, modification or deletion of any content that you or any other person uploads or posts.


Except as expressly provided in these Terms of Service or as expressly authorized in writing by you, you retain all rights, title and interest in and to content submitted to One Way Education through the Learning Site. Notwithstanding the foregoing, by submitting content to One Way Education or the Learning Site, you: (i) acknowledge and agree that all content provided in connection with any course whether directly through One Way Education or through your educational institution will be made available to school officials, including instructors, and other users with legitimate educational interests in such content; and (ii) automatically grant to One Way Education a royalty-free, perpetual, irrevocable, non-exclusive right and license to use, copy, reproduce, modify, adapt, publish, translate, perform, display, make derivative works of and distribute such content (in whole or in part) on the Learning Site, any successor website or application, or other sites owned or operated by One Way Education, or to other third-parties as authorized by your educational institution, including, without limitation, syntactic analysis and grading vendors. One Way Education may delete, archive, make unavailable, modify or comment on any content submitted by you. You may allow One Way Education to publicly share your content and/or to identify you with the content you have posted by providing express prior written permission to One Way Education.
You shall not upload, post or otherwise make available on the Learning Site any content protected by copyright, trademark or other proprietary right without the express permission of the owner of the copyright, trademark or other proprietary right and the burden of determining that any content is not so protected rests with you. You shall be solely liable for any damage resulting from any claims of infringement of copyrights or other proprietary rights, any claims by third parties regarding One Way Education's exercise of the foregoing license and any other harm resulting from your submission(s) or One Way Education's use or posting of such submission(s).
 
Prohibited Actions
You may not attempt to gain unauthorized access to any portion or feature of the Learning Site, any other systems or networks connected to the Learning Site, any One Way Education server, or any of the Site Content or services offered on or through the Learning Site, by hacking, password "mining" or any other illegitimate means. You may not probe, scan or test the vulnerability of the Learning Site or any network connected to the Learning Site, nor breach the security or authentication measures on the Learning Site or any network connected to the Learning Site. You may not reverse look-up, trace or seek to trace any information on any other user of or visitor to the Learning Site, including any account not owned by you, to its source. One Way Education reserves the right to report unsuccessful code redemption attempts or unauthorized use of the Learning Site and/or Site Content to appropriate school and law enforcement authorities. You may not exploit the Learning Site or any Site Content or services made available or offered by or through the Learning Site, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Learning Site. You agree that you will not take any action that intentionally imposes an unreasonable or disproportionately large load on the infrastructure of the Learning Site or One Way Education's systems or networks, or any systems or networks connected to the Learning Site or to One Way Education. You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Learning Site or with any other person's use of the Learning Site. You may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal you send to One Way Education on or through the Learning Site. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity. You may not access the Learning Site by using the login credentials of any other person without that person's permission. You acknowledge that your failure to abide by these Terms of Service may subject you to civil and criminal liability.
 
Learning Site Modifications
One Way Education reserves the right at any time to modify, suspend or discontinue the Learning Site or any part thereof and you agree that One Way Education shall not be liable to you or to any third party for any such modification, suspension, or discontinuance. Without limiting the foregoing, you acknowledge and agree that One Way Education may suspend, terminate or cancel your access rights to the Learning Site, or any part thereof, with or without notice, for any or no reason, without liability to you or any third party.
 
Your Representations, Warranties and Conduct
You represent and warrant that: (i) all of the information provided by you to One Way Education is accurate; (ii) you have all necessary right, power, and authority to agree to these Terms of Service and to perform the acts required of you hereunder; (iii) you have read and agree to abide by these Terms of Service and the One Way Education Privacy Policy; and (iv) you will not use the Learning Site for any unlawful purpose or in violation of any law or these Terms of Service or for any purpose not expressly permitted in these Terms of Service.
 
Indemnity
You agree to indemnify, defend (at One Way Education's option) and hold One Way Education and its affiliates, officers, directors, representatives, agents, partners and employees (collectively, "Indemnified Person(s)") harmless from and against any and all claims, liabilities, losses, and expenses (including damage awards, settlement amounts, and reasonable legal fees), brought against any Indemnified Person, arising out of or related to your content and materials, your use of the Learning Site, your violation of these Terms of Service or your violation of any third party's rights including such party's copyrights and trademarks.
 
Password Protection
You are responsible for maintaining the confidentiality of all access codes and account information associated with the Learning Site (collectively, "Password(s)"), and are fully responsible for all activities that occur using your Password. You agree to immediately notify One Way Education of any unauthorized use of your Password or any other breach of security of which you become aware.
 
Disclaimer of Warranties
The Learning Site and related applications, materials and services are provided to you "AS IS" without warranty of any kind. One Way Education's hereby disclaims, to the maximum extent permitted by law, all warranties either expressed or implied, including, but not limited to, implied warranties of merchantability and fitness of a particular purpose and any warranties pertaining to noninfringement, availability of the learning site, lack of viruses, worms, trojan horses, or other code that manifests contaminating or destructive properties, accuracy, completeness, reliability, timeliness, currency, or usefulness of any information on the learning site.
 
Disclaimer of Damages; Limitation of Liability
You agree that neither One Way Education nor any of its affiliates or agents will be liable to you or any other person for any consequential or incidental damages (including but not limited to lost profits or loss of privacy) or any indirect, special, or punitive damages whatsoever that arise out of or are related to the learning site or to any breach of these terms of service even if such party has been advised of the possibility of such damages. in no event will One Way Education's aggregate liability in connection with the learning site or these terms of service exceed $25, regardless of the cause of action. These limitations of liability shall apply to the maximum extent permitted by law, notwithstanding any failure of essential purpose of any limited remedy. Some states do not allow the exclusion or limitation of liability for consequential damages, so the above limitation may not apply to you.
 
Links to Third Party Websites
One Way Education may, as a convenience, provide links to third party websites. The inclusion of the link does not imply that One Way Education endorses those third party sites. Third party sites are not under One Way Education's control and One Way Education is not responsible for any content on any linked site. If you access a third party site from the Learning Site, you do so at your own risk.
 
Assumption of Risks
Use of the Learning Site is at your sole risk. You assume all risks that the Learning Site, applications, and related information are suitable for your needs. Use of any applications obtained through the Learning Site is at your own discretion and risk and you are solely responsible for any damage to your computer or loss of data. You agree that One Way Education shall not be responsible for any loss or damage of any sort relating to your dealings with any third-party content provider on the Learning Site.
 
Copyright Agent
If you believe that your copyrighted work is accessible on the Learning Site in a way that constitutes copyright infringement, please provide the following information to the agent identified below: (i) a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; (ii) identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site; (iii) identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit One Way Education to locate the material; (iv) information reasonably sufficient to permit One Way Education to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted; (v) a statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (vi) A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. Governing Law; Venue
These Terms of Service shall be governed by and construed in accordance with the internal laws of the State of Texas, without regard to conflicts of law rules. Any dispute or claim arising out of or in connection with these Terms of Service shall be adjudicated in Houston, Texas.
 
Entire Agreement; Binding Effect
These Terms of Service constitute the entire agreement between you and One Way Education relating to the subject matter hereof and supersede all prior oral and written understandings. These Terms of Service shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, executors, administrators, legal representatives, successors and permitted assigns.
 
Waiver
No waiver of any provision of these Terms of Service or any breach hereunder shall be deemed a waiver of any other provision or subsequent breach, nor shall any such waiver constitute a continuing waiver.
 
Severability
If any part of these Terms of Service, or the application thereof to any person or circumstance, is for any reason held invalid or unenforceable, it shall be deemed severable and the validity of the remainder of these Terms of Service or the applications of such provision to other persons or circumstances shall not be affected thereby.

One Way Education, LLC Student Information Privacy Notice

One Way Education, LLC (“One Way Education,” “us,” or “we”) is committed to protecting the privacy of students using One Way’s services. This One Way Education, LLC Student Information Privacy Notice supplements One Way’s general Private Policy and applies to K-12 student users of One Way’s and Learning Site® online services and related mobile applications (the “Services”). This Privacy Policy describes how One Way collects and uses the information provided by or on behalf of students when registering for and using our Services so that you can understand how we protect and use your information. If you are under 18, we suggest that you review this information with your parents. By visiting or using our Services, you acknowledge and consent to the information handling practices described in this Student Information Privacy Notice and our general Privacy Policy.


End users of the Services may access the Services in varying ways. Where a student registers with One Way directly, the student would be considered a customer of One Way Education, LLC. In other circumstances, One Way may enter into a contract directly with a school pursuant to which the Services would be used as part of the school’s curriculum in which case One Way may receive student data directly from the school or through a school’s third-party “rostering” service provider. In certain other circumstances, a teacher from a student’s school may provide registration data for students who will have access to the Services in connection with a particular course or program. When One Way provides Services through a school or teacher at a school (which, for purposes of this Student Information Privacy Notice are referred to collectively as a “School”) as part of the school’s curriculum, we may have access to personal information about K-12 students (“Student Users”) and certain information provided or received in connection with the Services may be considered a student “educational record” under applicable law. In addition, personally identifiable student information or data created or provided by a student or parent through use of the Services, created or provided by a School in connection with the Services, or gathered through use of the Services may be protected by certain state Student Information Privacy laws.


This Student Information Privacy Notice describes how One Way handles and protects the personal and educational information of Student Users of our Services. This Student Information Privacy Notice pertains only to One Way’s handling and use of personally identifiable information of Student Users. Our general Private Policy  describes our practices for collecting, using, maintaining, and disclosing other information of users of our Services. To the extent that there is a conflict between the terms of this Student Information Privacy Notice and our general Privacy Policy with regard to the personally identifiable information of a Student User, the terms of this Student Information Privacy Notice shall control.
 
What information do we collect?
If you create an account for use of the One Way Education, LLC Services or communicate with One Way you may provide what is generally called “personal information” or “personal data,” such as your full name, email address or other information that can be used to identify you. Information that cannot be used to identify you as an individual is called “de-identified” or non-personal information.


We collect information, including personal information, in a variety of ways which may vary according to your use of the Services and your account settings. The categories of personal information we collect may include:


Contact and profile information.
When you create an account with One Way or communicate with us we may collect personal information including your name, email address, school name, school district name, teacher name, class name, and course name/ID. In addition, we may ask you for personal information at other times, such as when you contact our technical support team, send us an email, or otherwise communicate with us.


Information from Others.
We make available certain features on our Services that allow other users to provide us information about you. For example, a parent or School may provide information relating to a Student User, such as when a School or parent registers an account for their student or child and provide us with certain information about the student or child, such as username.


Information about your use of our Services.
We may collect usage information about your use of our Services, such as materials accessed, lessons completed, problems you have attempted, and test and quiz results.


Location information.
We may collect and use information about your location or infer your approximate location based on your IP, but we do not collect the precise geolocation of you or your device. 


Usage and device information.
We may use various technologies that automatically record certain technical information from your browser or device when you visit our website, read our emails, use our Services or otherwise engage with us. This information is typically collected through a variety of tracking technologies, including cookies, web beacons, Flash objects, log files, and similar technology (collectively, “tracking technologies”). These tracking technologies collect information about how you use the Services (e.g., the pages you view, the links you click, and other actions you take on the Services), information about your browser and online usage patterns (e.g., Internet Protocol (“IP”) address, browser type, browser language, pages viewed, whether you opened an email, links clicked), and information about the device(s) you use to access the Services (e.g., mobile device identifier, mobile carrier, device type, model and manufacturer, mobile device operating system brand and model, and whether you access the Services from multiple devices). We may collect analytics data or use third-party analytics tools such as Google Analytics or Amazon Analytics, to help us measure traffic and usage trends for the Services and to understand more about the demographics of our users. How we use the information we collect
One Way Education, LLC uses this information in the following ways:


To provide and enhance our Services.
One Way uses the information you provide or that we collect to operate, maintain, enhance, and provide all of the features of our Services.


To personalize your experience.
We use the information to personalize your experience while using the Services, including on various devices you may use to access the Services.


To communicate with you.
We may use your information to communicate with you about your account and respond to inquiries.


To understand, improve, and develop our Services.
One Way uses all of the information that you provide or that we collect from users to understand and analyze the usage trends, learning behaviors, and preferences of our users, to improve the way the Services works and looks, and to create new features and functionality. We may also use information to maintain, develop, support and improve our Services and other educational products and Services. When we use Student User information for these purposes, we de-identify or aggregate the data so that an individual user may not be personally identified.


Student Users and Student Education Records
When the Services are used as part of the School’s educational curriculum, the personal information related to the School’s Student Users that is (i) provided to One Way by a student or by a School, or (ii) collected by One Way during the provision of the Services to a School, may include information defined as “educational records” by the Family Educational Rights and Privacy Act (“FERPA”). In addition, we may gather other information through use of the Services that describes or identifies a Student User which may come within the definition of “student data,” “covered information,” or “personally identifiable information” that may be protected under certain state Student Information Privacy laws. For purposes of this Student Information Privacy Notice, we call this information, collectively, “Student Education Records.”


Our collection and use of Student Education Records is governed by our contracts with the Schools, by our Privacy Policy, and by applicable privacy laws. For example, we work with Schools to help protect personal information from the Student’s educational record, as required by the Family Educational Rights and Privacy Act (“FERPA”), and we work to protect the personal information of students under 13 consistent with the Children’s Online Privacy Protection Act (“COPPA”). We also observe applicable requirements of state Student Information Privacy laws when using or storing Student Education Records.


In our effort to protect personal and educational information of Student Users and to comply with applicable law, we observe the following standards and protocols regarding Student Education Records:
 
We collect, maintain, use and share Student Education Records only for an authorized educational purpose in connection with the Services, or as directed by the School, the Student User and/or the student’s parent or legal guardian (a “Parent”).


We do not disclose Student Education Records for targeted advertising purposes and do not engage in targeted advertising of Student Users.
We do not build a personal profile of a Student User other than in furtherance of an educational purpose in connection with use of the Services.


We maintain a data security program designed to protect Student Education Records maintained by the Services.


We will take reasonable steps to protect the Student Education Records from unauthorized access, destruction, use, modification, or disclosure.
We will never sell Student Education Records unless the sale is part of a corporate transaction, such as a merger, acquisition, bankruptcy, or other sale of assets, in which case we will require the new owner to continue to honor the terms provided in this Privacy Policy or we will provide the School with notice and an opportunity to opt-out of the transfer of Student Education Records by deleting the Student Education Records before the transfer occurs.


We will aggregate or de-identify student data used for purposes of helping us to improve our services or develop or improve our products or services.


We will contractually require any service providers that we engage in connection with the Services who may receive Student Education Records acquired through our Services to use the information only to provide the contracted services, not to further disclose the information, to maintain reasonable data security measures, and to comply with applicable data privacy laws.


We will clearly and transparently disclose our data policies and practices to our users.


We will not make any material changes to our Privacy Policy or contractual agreements that relate to the collection or use of Student Education Records without first giving notice to the School and providing a choice before the Student Education Records are used in a materially different manner than was disclosed when the information was collected.

 

We will delete Student User information if the school requests deletion of data under its control.
Educational records are within the control of the School that has entered into a contract with One Way Education, LLC. If you have any questions about reviewing, modifying, or deleting the educational records of a Student User accessing the Services through a School, please contact your School directly. 


How we share and disclose Student Education Records.
Schools, including teachers, will have access to Student Education Records contained on the Services. Parents may have access to Student Education Records contained on the Services through the School. If you have any questions about reviewing, modifying, or deleting the educational records of a Student User accessing the Services through a School, please contact your School directly.
 
We may use or make permitted disclosures of student information and data as required or allowed by applicable law.


How we retain and delete Student Education Records.
Student Education Records stored within the Services are protected through technical, physical, and administrative safeguards instituted by One Way Education, LLC.


We will not knowingly retain Student Education Records beyond the time period required to support an educational purpose, unless authorized by a School, adult student or Parent.


Student Users who create their own accounts (or their Parents) can delete their accounts and all personal information associated with the account by sending us an email at SUPPORT@1WAYEDUCATION.COM


The School is responsible for managing Student Education Records which the School no longer needs for an educational purpose by submitting a deletion request when such data is no longer needed. Please note that One Way Education cannot comply with a School’s request to delete personal information in a user account except for Student User accounts created by a School (i.e., using a School email address and/or an account login provided by a School) pursuant to a contractual agreement between the School and One Way, or unless the Student User (or the user’s Parent) requests deletion directly.

If you have questions about specific practices relating to Student Education Records provided to One Way by a School, please direct your questions to your School.


One Way Privacy Policy for Student Users under 13 Years of Age (Young Student Users)


The Children’s Online Privacy Protection Act (“COPPA”) provides certain protections for information provided by individuals under the age of 13. One Way does not knowingly collect any personal information from children under the age of 13 unless and until the School has obtained appropriate parental consent for the student to use the One Way Services. One Way collects and uses data regarding Student Users at the direction of and under the control of a School. One Way relies on each School to provide appropriate notice to parents of the School's use of third party service providers such as One Way, and for the Schools to provide consent, if necessary, and authorization for One Way to collect data regarding Student Users, as permitted by COPPA. If One Way learns that personal information of a Young Student User has been collected on our Services without parental or School consent, One Way will take appropriate steps to delete the information. If you are a parent or guardian and discover that your child under the age of 13 has a registered account with our Services without your consent, please advise One Way at support@1wayeducation.com and request that we delete your child’s personal information from our systems.


Changes and updates to Privacy Policy
We will provide notice on our website if we make any material changes to our privacy policies that relate to the collection or use of Student Education Records.
